TERMS AND CONDITIONS
The Terms and Conditions shall govern all orders placed with Camilla studio inc also referred to as the “Seller” , "Camilla Studio" or "CSI". The customer or client, also referred to herein as the “Buyer”, agrees to these Terms and Conditions by virtue of his or her agreement to the placement of a sales order with the Seller through any manner or medium (including, without limitation, online sales, phone orders, trade show orders or on-site sales).
[1.] Orders
All orders are final. Any requests for cancellation or changes to a stocked or standard order (see 1.b. below), including, without limitation, changes in quantity or other requests, must be delivered in writing by the Buyer to the Seller.
[1.a] No Change, Cancellation or Return of Custom Orders
Once placed, custom orders cannot be changed, cancelled or returned. No exceptions can be made.
[1.b] Cancellation of Stocked and Standard Orders:
All cancellation fees associated with the cancellation of a regular or standard order must be paid by the Buyer. Any cancellation shall carry a cancellation fee equal to twenty five percent (25%) per cent of the net value of the ordered items cancelled, or a minimum cancellation charge of one hundred dollars ($100.00), whichever is greater, to be paid by Buyer in the same currency in which the order was placed (Canadian or United States dollars only).
PLEASE NOTE: Cancellations that occur anytime after twenty-four (24) hours of order placement, but prior to delivery to Buyer, are also subject to a restocking fee equal to twenty-five percent (25%) of the net value of the ordered items cancelled.
[1.c] Returns:
Camilla Studio Inc will not accept any returned items without written pre-authorization, to be provided by the Seller.
Outdoor furniture cannot be returned for a refund or an exchange if the product has been exposed to usages, or the elements. Items returned after delivery must occur no later than one (1) week from the date of delivery, and are subject to a full, satisfactory inspection of the goods by the Seller. Such returns carry a minimum restocking fee which shall be equal to fifty percent (50%) of the net value of the items being returned, plus shipping, handling, duties, foreign tariffs and or inspection fees, and any other associated costs, as applicable. All such costs and associated fees are the responsibility of the Buyer and shall be paid within five (5) business days by one of the payment options described in Paragraph 2 [Payment] below (except by cheque). The Seller charges two percent (2%) interest, compounded and payable monthly, on all outstanding balances.
[1.d] Receipt of Goods:
The Buyer needs to inspect all delivered items immediately upon receipt for flaws, defects or damage. CsI reserves the right to reject claims received after two (2) working days. Please also see Paragraph 5.b [Claims] below.
[2.] Payment
The Seller accepts all major credit (VISA, MASTERCARD, DISCOVER, and Apple pay), wire transfers and e-transfers. Orders placed by cheque are subject to wait time associated with bank clearance.
[2.a] Deposits:
Product pricing and inventory availability are subject to change without notice prior to placement of order. In stock merchandise cannot be held or picked up without Seller first receiving full payment. Custom orders will not be processed without customer deposit of fifty percent (50%) of the cost of the item(s). A fifty percent (50%) deposit is also required to process all out of stock merchandise orders.
[2.b] Payment Terms:
The Seller does not offer financing on its merchandise. A deposit of fifty percent (50%) of the value of the order must be received at the time the order is made. All outstanding balances must be paid prior to shipping / pick up or delivery. Buyers carrying a balance over the applicable grace period shall incur an additional two (2) per cent financing charge per month on the outstanding balance. For the sake of clarity, “applicable grace period” shall be defined herein as fifteen (15) days after delivery of the item(s), when such extension of the payment term is first approved by Seller.
[3.] Taxes & Duties
The Seller must charge sales tax (H.S.T.), on all orders shipped within Ontario. Orders shipping outside of the Province of Ontario are subject to applicable taxes depending upon the final destination of the goods. International orders, outside of Canada, are not subject to Canadian federal or provincial taxes, however the Buyer is expected to comply with provincial and state regulations, as applicable, and pay fees associated with any applicable tariffs, duties, customs, border and brokerage fees and or any fees associated with the of area purchases.
[4.] Method of Shipment
The Seller will make all arrangement with respect to the handling of all order shipments, unless the Buyer specifies in writing their preferred shipping method and is willing to accept any increased costs associated with such shipping method. Shipments returned to the Seller as a result of Buyer’s delay or failure to accept delivery will require the Buyer to pay additional fees, including, without limitation, storage or other costs handed down by the shipping company.
[4.a] Delivery Dates:
All lead times and delivery dates are approximate. The Buyer hereby agrees not to hold Seller, or any of its parent, subsidiaries, affiliates or other related entities, and their respective, officers, director, employees or agents responsible for delays beyond the Seller’s control. Order cancellation will not be entertained because of delays beyond the Seller’s control, including, without limitation, reasonable production delays which may occur at the manufacturing stage. Furthermore, the Buyer agrees to not hold the Seller responsible for natural disasters, acts of God, terrorism; which may affect the timing for the delivery of the order.
[4.b] Ownership:
A Seller’s lien shall remain on the title to all merchandise delivered until the order has been paid in full by Buyer.
[4.c] Storage Fees:
The Seller will inform the Buyer once an order is ready for delivery by sending the Buyer a final invoice, and will offer complimentary storage for a period of thirty (30) days. A monthly storage fee equal to one and a half percent (1.5%) of the net value of the order or sixty dollars ($60.00) dollars (Canadian or United States dollars depending on currency used for the order), whichever is larger, shall be charged to Buyer on merchandise not picked up within thirty (30) days from the date of the final invoice.
[5.] General Liability
No liability shall accrue against the Seller as a result of any breach of these terms and conditions resulting from any delay beyond the Seller’s control, including without limitation, strike lockout, work stoppage, terrorism, act of God, general production delays, or other delays beyond the Seller’s control. The Buyer agrees to not hold the Seller responsible for any delays in the Buyer’s product being delivered. Standard or quoted lead times do not include transit or production time for COM/COL. Orders will not be produced until all COM/COL materials have been received.
[5.a] Custom Fabrics / Leathers (COM/COL):
The Seller accepts no liability for customer supplied fabric or leather on stock or custom orders. Buyer shall indemnify and hold the seller harmless for any damages, injures or losses arising out of, or related, to the use of the COM/COL (Customer Supplied Material or Customer Supplied Leather) on the product.
[5.b] Claims:
During the standard 30 days limited warranty period, further to Paragraph 7 [Limited Warranty] below, any claims with respect to any defects covered under warranty must be submitted in writing to the Seller, . If a claim is covered in accordance with the provisions said limited warranty, the Seller shall free of charge and at the Seller’s option, repair, replace or reimburse the components of the item(s) to which the claim relates.
[6.] Warranty Disclaimer
Descriptions, representations and other general information concerning the Seller’s products that may be contained in the Seller’s catalogs, website, advertisement, or in other promotional materials or statements or representations made by the Seller or its agents shall not be binding and shall not be part of the limited warranty unless as described in Paragraph 7 below,. In no event shall the Seller’s be liable for any claims made by the Buyer that exceed the purchase price of the product in respect of which such claim is made. The Buyer hereby agrees to fully release and hold the Seller harmless from and against any and all claims, demands, liabilities, losses, costs and expenses, including, without limitation, negligence and strict liability that are associated with the Buyer’s use of the product.
[7.] Limited Warranty
Except as specified herein, the Seller warrants that any goods sold herein will be free from any material defects in workmanship and materials for 30 days from the date of delivery. This warranty does not apply to damage or breakage resulting from misuse, accidents, abuse, neglect, mishandling or reasonable wear and tear resulting from normal use. Further specific warranty limitation descriptions are outlined below:
[7.a] Furniture:
Wood and metal finishes may vary in color, tone and character. While the Seller will make every effort to match a finish, no guarantee can be made for an exact match. Manufacturer does not guarantee finishes against fading and oxidizing. Variation in color and veining are inherent in stone and wood. Knots and imperfections are considered to be part of the natural beauty. Use coasters and heavy place mats all the time.
[7.b] Solid Wood and Outdoor Furniture:
All wood materials will expand and contract with moisture and temperate change. Over time this may cause slight cracking of the wood. This is a natural occurrence and is not indicative of a failure in manufacture workmanship. Natural teak will weather to silver patina over time when exposed to the elements. Stain finishes will degrade over time and dirt and residue may adhere to the teak unless regularly maintained by washing, sanding, and reapplying stain regularly.
Seller does not guarantee fabrics, dyed or natural from fading. The foregoing warranty is in lieu of and excludes all other warranties not expressly set forth herein, whether express, or implied by operation of law or otherwise, including but not limited to any implied warranties of merchantability and fitness. Buyer agrees to allow Seller to operate within the twenty percent (20%) industry variance or as accepted by the Seller.
[7.d] Leather:
Seller does not guarantee leather fabrics from fading. The foregoing warranty is in lieu of and excludes all other warranties not expressly set forth herein, whether express, or implied by operation of law or otherwise, including but not limited to any implied warranties of merchantability and fitness. Variation in color of the leather is part of its natural beauty. Buyer agrees to allow Seller to operate within the twenty (20) per cent industry variance or as accepted by the Seller.
[7.e] Mirror/ Glass:
The Buyer hereby agrees to follow these general guidelines for in its use of any ceramics purchased:
1.) Avoid contact with heavy or sharp objects;
2.) Never use side tables as stools.
3.) Mirror/ Glass are fragile by nature and may break when using too much force.
4.) Use a coaster where ever applicable these are sensitive to heat and water.
[8.] DELIVERY SERVICES
Shipping and handling charges shall be based on the retail value, dimensions, or weight of the order (before discounts and taxes). We require a receiver/ loading dock for receiving our shipped out merchandise which were packed in a skids or a pallets.
[8.a] Delivery and Assembly
PLEASE NOTE: DELIVERY AND ASSEMBLY SERVICES ARE LIMITED TO THE GREATER TORONTO AREA (G.T.A.)
The Seller offers two (2) types of delivery services in G.T.A:
(1) Standard and (2) Delivery and Assembly.
The Seller will provide estimated delivery and assembly cost at the request of the Buyer prior to delivery.
Service Includes the following: delivery into the customer’s home, assembly of the furniture (other than USM, wall mount installation and electrical which are not included in the said service), and placement of furniture in the room. Customers will be given a four (4) hour waiting time window for delivery.
[8.b] Glass/ Mirror Delivery:
Glass or mirror delivery shall only be performed by designated Seller’s shipping agents.
[9.] ITEMS ON LOAN
Under circumstances pre-authorized in writing by Seller, the Seller may agree to loan or release merchandise. It is the responsibility of the customer being loaned the item(s) to ensure that any item(s) loaned are returned to Seller, at the Seller’s direction, in the condition in which they were received. If any item(s) loaned are damaged during the term of the loan, the Seller hereby reserves the right to charge back to the customer the full price for the damaged item(s), plus applicable taxes and transportation and installation costs. Products will be loaned up to a maximum of five (5) business days, after which the customer shall be responsible for the full cost of the item(s) loaned, including applicable taxes and transportation and installation costs. Upon return of the item(s) the Seller will inspect the item(s) and provide clearance confirmation to the customer.
LEGAL DISCLAIMER
Our woods are made entirely of authentic, upcycled hardwoods from a variety of sources. Wood is a natural material that contains distinctive characteristics in grain, colour and texture.
Photographs and physical samples should be viewed as illustrative of the collection they represent; in no way should they be regarded as being definitive or of guaranteeing an exact match. Each individual plank is unique.
Please note that no returns are offered for product that has been installed. With this in mind we always advise that you take the opportunity to experiment with different panel arrangements prior to final installation.
Your statutory rights are not affected.
Camilla Studio reserves the right to use photos of any product that they made for marketing or selling purposes even if the design is supplied by the customer.
